Legal Services

In-house legal searches inside a financial institution: capital-markets transactions, licensing, and the conduct of the house.

The seat

These are searches for lawyers who work inside a bank, a broker, or an asset manager. Not a law firm hiring for its own practice. The client wants someone who will sit with the business, draft and negotiate, and tell a desk what it can and cannot do before the timetable collapses.

On equity capital markets the work is the transaction set. Prospectus disclosure, underwriting and placing agreements, engagement letters, due-diligence questionnaires, and the issues that appear between filing and pricing. Where the listing is in Hong Kong, it includes the Listing Rules, the sponsor's obligations, and the codes that govern how the house conducts itself.

Licensing sits beside the transactions. A firm conducting regulated activity has to know the activities it is permitted to carry on, the notifications, and the manual the desk is supposed to follow: Chinese walls, conflicts, watch and restricted lists, and personal dealing. The lawyer who only arrives after the business has agreed the deal is not the lawyer an execution team needs.

  • Transaction drafting and negotiation, on a live timetable.
  • Disclosure, diligence, and the sponsor or underwriter questions that come with a listing.
  • Licensing, notifications, and the conduct rules of the house.
  • Judgment with the front office, external counsel, and the regulator.

Who is sought

The useful person has already done the work, in a law firm on the same transactions or in-house at an institution. Qualification, the jurisdiction, and the language of the documents are part of the brief. So is the ability to advise while the deal is still moving.

The page describes the mandate and the kind of institution. It does not name the employer.
