Legal Counsel / Senior Legal Counsel

The institution

A Hong Kong-listed company with private equity and primary market investment activities, including fund management and proprietary investments. The employer is not named. This is a pure legal seat, reporting to the Head of Legal and Compliance, within a compact legal team that also covers compliance, risk, and company secretarial work. The role is practical legal support for investment transactions and the company's ongoing listed-company obligations.

The work

• Advise on and support private equity and primary market investment transactions, including due diligence, structuring, transaction documents, and execution.
• Advise on Hong Kong Listing Rules compliance and the company's listed-company obligations.
• Draft, review, and negotiate investment agreements, commercial contracts, and other legal documentation.
• Coordinate with external counsel on regulatory filings and more complex matters.
• Support the company secretarial, compliance, and risk teams on corporate governance and related matters.
• Give clear, commercially focused legal advice to business stakeholders.

What they are looking for

• Admitted as a solicitor in Hong Kong.
• At least eight years of relevant professional experience. The career path may include prior investment, paralegal, or other related roles before qualification.
• In-house experience is preferred, ideally at a Hong Kong-listed company or in an investment firm or private equity environment.
• Experience advising on private equity or primary market transactions.
• Familiar with the Hong Kong Listing Rules.
• Fluent in Mandarin.
• Able to work in a collaborative, multi-disciplinary legal and compliance team.
