Investment Banking ED / MD (Sponsor Principal)

Lead execution of IPO sponsor mandates for a state-owned investment bank, from engagement through listing and post-listing obligations.

The institution

A bank-backed state-owned investment bank. The employer is not named. This is an execution and team-leadership seat. The candidate must already be a sponsor principal, or be eligible to be one and hold the licences that requires.

The work

  • Lead assigned IPO sponsor mandates from acceptance of the engagement through HKEX listing and post-listing obligations.
  • Supervise the project team and stay close enough to the work to keep quality and timing.
  • Run due diligence to SFC and HKEX standard, and deal with the issues it raises.
  • Review prospectuses, accountants’ reports, reorganisation papers, legal opinions, listing applications, forecasts and valuation models.
  • Be the main contact for risk management on listing applications and sponsor duties.
  • Coordinate the client, ECM, legal advisers, auditors, co-sponsors and other parties.
  • Deal with HKEX and the SFC on comments, questions and the logistics of the filing.
  • Hold the mandate to internal policy, the SFC sponsor guidelines, the Securities and Futures Ordinance and the HKEX Listing Rules.

What they are looking for

  • A Responsible Officer and Sponsor Principal registration with the SFC for Type 6 regulated activity.
  • Six to fifteen or more years in investment banking or corporate finance, with the weight on Hong Kong IPO execution and sponsorship.
  • A record of executing and sponsoring IPOs on the Hong Kong Stock Exchange, as sponsor principal or in a lead execution role.
  • Fluent English and Mandarin, and strong written Chinese.
  • A working knowledge of the SFC Corporate Finance Adviser Code of Conduct, the sponsors guidelines, the HKEX Listing Rules and the Securities and Futures Ordinance.
  • A bachelor’s degree or higher in finance, business, economics, law, accounting or a related field. CFA, CPA or a similar qualification is an advantage.
